Do I need to set the supervisor in my company?
the Chinese Company Law allows you to decide whether to set a supervisor when set up your company in China. Please note that making this decision is a key part of your company registration in China, and it depends on your specific company structure and size.
Under the Company Law effective from July 1, 2024, the requirement for a supervisor (or a supervisory board) is no longer mandatory for all companies. You now have the following options:
No Supervisor (for small companies): If your company is "small in scale" or has "a small number of shareholders," you can opt out of setting a supervisor entirely. This is a popular choice for startups.
During your company registration in China, you must clearly define this choice in your Articles of Association. The registration application form will require you to list the appointed directors, supervisors (if any), and senior management . If you opt out of a supervisor, your Articles of Association must explicitly state this to ensure your registration is approved by the local Market Supervision Administration.
