As you known, when set up a new WOFE/JV or
Representative office in China, you need to provide a copy of the shareholder’s
certificate which must be notarized by notarized organization and legalization by
China Consulate(Consular authentication )
Now good new coming, Convention Abolishing the
Requirement of Legalization for Foreign Public Documents enters into force on 7th Nov. 2023. According to the Convention, official documents sent between China
and other contracting counties don’t need to provide Consular authentication by
their countries’ Consulate, an Apostille Certificate issued by countries they
come from replace the Consular authentication issued by countries
they will come to.
So if now registration a new company in
China, the shareholder’s certificate will be prepared more simple and convenient.
Still notarized process needs to be done in the shareholder’s country, after notarization,
just get an Apostille certificate from the shareholder’s country, no need to
get consular authentication from China Consulate.
