There are two kinds of partnerships of LLP in China. One is general partnership which undertakes unlimited liability; Another is limited partnership which undertakes limited liability.

Below are documents list of foreign LLP registration in China for your reference.

1. Application for the LLP’s name.

2. Application form to set up the LLP.

3. Rent agreement.

4. Certificate of the enterprise for the enterprise shareholder, the certificate need to be legalized by China Embassy if the company is Non-Chinese company; The identity certificate and the resident certificate of the shareholder for the personal shareholder who is a foreigner and also stays in China.(if the foreign personal shareholder is not in China, Original passport and the resident certificate also need to be legalized by China Embassy).

5. Confirmation letter for the capital contribution.

6. Credit certificate issued by a certain bank if the general shareholder is a foreigner or a foreign company.

7. Partnership agreement signed by all of the shareholders.

8. Others for the LLP's business involves in some special industries.
